What condition is placed on the Lease for the Tenant to operate a Franchised Bhc Restaurant?
Bhc Franchise · 2025 FDDAnswer from 2025 FDD Document
At or after the time Franchisor assumes Tenant's interests under the Lease, the Franchisor may, at any time, assign such interests or sublet the Premises to a BHC franchisee. Any such assignment shall be subject to the prior written consent of the Landlord, which Landlord shall not unreasonably withhold as it relates to a creditworthy franchisee who otherwise meets Franchisor's then-current standards and requirements for franchisees and agrees to operate the store as a Franchised BHC Restaurant pursuant to a Franchise Agreement with Franchisor.

What This Means (2025 FDD)
According to Bhc's 2025 Franchise Disclosure Document, if the Franchisor assigns the lease to a new franchisee, the landlord's written consent is required. However, the landlord cannot unreasonably withhold consent if the new franchisee is creditworthy, meets Bhc's standards, and agrees to operate the restaurant as a Bhc franchise under a Franchise Agreement with Bhc. This condition ensures that any new franchisee taking over the lease is qualified and committed to maintaining the Bhc brand standards.
This provision protects Bhc's interests by ensuring that any new operator meets their criteria for franchisees. It also provides some assurance to potential franchisees that the landlord cannot arbitrarily deny a lease assignment if the franchisee meets reasonable standards. The landlord's obligation to not unreasonably withhold consent is a fairly standard clause in commercial leases, intended to balance the landlord's interest in the tenant with the tenant's need for flexibility.
For a prospective Bhc franchisee, this means that if they were to take over an existing location, they would need to demonstrate their creditworthiness and meet Bhc's operational standards to secure the lease assignment. This process adds a layer of due diligence for both the franchisee and the franchisor, ensuring a smooth transition and continued adherence to the Bhc brand and operational guidelines. Franchisees should confirm with Bhc what specific criteria they use to assess potential franchisees in these situations.
