8.12 Web Site and Internet Marketing.
- (a) During the term of this Agreement, Master Franchisee and Subfranchisees will use the BHC website, and any other Internet or social media only as specifically authorized by Franchisor in section 6.2(a) of this Agreement, the Operations Manual or otherwise in writing to market the Franchised Business conducted at Master Franchised BHC Restaurant and in the Territory. Master Franchisee or Subfranchises may not during the term of this Agreement (i) establish an independent website or social networking media BHC Restaurant dedicated to marketing the Franchised Business, or (ii) register an Internet domain or social networking media BHC Restaurant name using any of the Marks.
- (b) Any alternative distribution methods and programs Master Franchisee would like to use to engage in the Franchised Business, including e-commerce, web sites, Internet sub-dealers, tele sales and telemarketing, or any other non-retail method of distribution, is subject to Franchisor's prior written approval, which approval will be in Franchisor's sole discretion.

What This Means (2025 FDD)
The 2025 Bhc Franchise Disclosure Document does not specify to whom complaints about the content of the Bhc website should be directed. However, it does state that franchisees must use the Bhc website and any other internet or social media only as specifically authorized by Bhc in the franchise agreement, the Operations Manual, or otherwise in writing to market their franchised business. Franchisees are prohibited from establishing independent websites or social networking media dedicated to marketing the franchised business or registering an internet domain or social networking media name using any of Bhc's marks.
Furthermore, any alternative distribution methods and programs that a franchisee would like to use, including e-commerce, websites, internet sub-dealers, telesales, telemarketing, or any other non-retail method of distribution, are subject to Bhc's prior written approval, which Bhc may grant or deny at its sole discretion. Bhc also has the option to establish and maintain an Intranet through which Bhc franchisees may communicate with each other and through which Bhc may disseminate the Operations Manual, updates, and other confidential information. Bhc has full discretion and control over all aspects of any such Intranet, including the content and functionality thereof.
Given Bhc's control over the website and online marketing activities, it is likely that complaints regarding the website should be directed to Bhc's corporate headquarters or a designated contact person within the company. A prospective franchisee should ask the franchisor directly about the proper channels for addressing website-related concerns and feedback during the due diligence process.
