What This Means (2025 FDD)
According to Bhc's 2025 Franchise Disclosure Document, the use of the Marks by a Master Franchisee benefits both Bhc and the owner of the Marks. The agreement specifies that while the Master Franchisee has a license to use and display the Marks during the term of the agreement, this use inures to the benefit of Bhc and the Marks' owner. This means that any goodwill or recognition generated through the Master Franchisee's use of the Marks ultimately benefits Bhc and the owner, not the Master Franchisee.
This arrangement is typical in franchising, as it ensures that the brand's value and reputation remain with the franchisor. The Master Franchisee acknowledges that their use of the Marks is a temporary, authorized use and that they do not acquire any ownership interest in the Marks or the goodwill associated with them. This is further reinforced by the stipulation that the Master Franchisee cannot claim any goodwill, reputation, or ownership due to their use of the Marks.
Furthermore, any materials created by the Master Franchisee or their agents that incorporate the Marks become the sole property of the Marks' owner. This includes artwork, graphics, layouts, slogans, and other similar materials. The Master Franchisee irrevocably assigns all such materials to Bhc, ensuring that the brand maintains control over its image and intellectual property. This is a standard practice to protect the brand's uniformity and prevent franchisees from developing their own branding that could dilute the overall brand identity.
Upon termination or expiration of the franchise agreement, the Master Franchisee loses all rights to use the Marks and cannot claim any compensation for goodwill associated with the Marks. This underscores the temporary nature of the license granted to the Master Franchisee and reinforces that the benefits of using the Marks ultimately accrue to Bhc and the owner of the Marks, safeguarding the brand's long-term value and reputation.
