What This Means (2025 FDD)

According to Bhc's 2025 Franchise Disclosure Document, the collective term used to refer to both Affiliate Franchised Bhc Restaurants and Subfranchised Bhc Restaurants in the agreement is "BHC Restaurants". This definition is important for understanding the scope of the agreement, as it encompasses all restaurants operating under the Bhc brand within the designated development area, regardless of whether they are directly operated by an affiliate of the Master Franchisee or by a subfranchisee.

This distinction is significant because the Master Franchisee has the right to establish and operate restaurants through an affiliate and to license other parties to do the same. However, the agreement treats both types of restaurants under the umbrella term "BHC Restaurants" for the purposes of various obligations and rights outlined in the document. This means that any clause referring to "BHC Restaurants" applies equally to both Affiliate Franchised locations and Subfranchised locations, unless otherwise specified.

For a prospective franchisee, understanding this definition is crucial for interpreting their rights and responsibilities under the agreement. For example, if a clause states that "BHC Restaurants must adhere to certain marketing guidelines," this applies to both types of locations. Similarly, if there are performance metrics or standards that "BHC Restaurants" must meet, both Affiliate Franchised and Subfranchised locations are held to the same standard. This unified terminology ensures consistency and clarity in the agreement's application across all Bhc outlets within the development area.
