What This Means (2025 FDD)

According to Bhc's 2025 Franchise Disclosure Document, Bhc USA LLC is the franchisor and was incorporated in California on January 6, 2022. The document specifies that Bhc is wholly owned by its parent entity, Dining Brands Group Co, Ltd. (formerly known as BHC F&B Co., Ltd.), a South Korean corporation referred to as BHC Korea. BHC Korea owns the trademarks and the BHC USA LLC system. Importantly, the FDD states that Bhc USA LLC is not controlled by, controlling, or under common control with any other entity that provides goods or services to its franchisees or offers franchises in any line of business.

This statement indicates that while Bhc has a parent company, BHC Korea, which owns the trademarks and system, Bhc USA LLC operates independently from other entities that might supply goods or services to Bhc franchisees. This separation could mean that franchisees have more flexibility in sourcing goods and services, as Bhc is not mandating the use of specific affiliated suppliers.

However, it is important for a prospective franchisee to verify this information during their due diligence. They should inquire about any preferred vendor relationships or requirements that might exist, even if they are not mandatory. Understanding the supply chain and any potential influence from BHC Korea or other entities is crucial for assessing the overall operational costs and potential profitability of a Bhc franchise.
