  • (i) Master Franchisee agrees that complete and detailed uniformity among Franchisor's Master Franchisees under varying conditions may be inadvisable, impractical, or impossible, and accordingly agree that Franchisor, in its sole discretion, may modify or vary aspects of the System as to any Master Franchisee or group of Master Franchisees based on, for example, local sales potential, demographics, competition, business practices or other conditions. Master Franchisee is aware that other BHC Master Franchisees may operate under different agreements and, consequently, that Franchisor's obligations and rights as to those Master Franchisees may differ materially in certain circumstances.
  • (l) Master Franchisee and each Principal Equity Operator acknowledge that in operating the System, Franchisor must consider the needs of the System as a whole, and the need to protect the Marks, even if Franchisor's actions are contrary to Master Franchisee's individual interests as a Master Franchisee.
