Bft Franchise · 2025 FDDAnswer from 2025 FDD Document
Although Franchisor may provide Franchisee with various standard or sample plans and specifications with respect to constructing and equipping the Studio, it is Franchisee's sole responsibility to construct, equip, and operate the Studio in compliance with all applicable federal, state and local laws and regulations, including, without limitation, all building codes, fire and safety codes, environmental laws, Occupational Safety and Health Administration laws, health laws, sanitation laws, Americans with Disabilities Act, and all other requirements that may be prescribed by any federal, state or local governmental agency ("Applicable Laws"). Franchisee is also responsible for ensuring that Franchisee and the Studio comply with all music licensing laws in connection with any music that Franchisee and/or any staff at the Studio determines to play or use that is not otherwise covered by the Music Licensing Fee. Franchisee further acknowledges and agrees that Franchisee is, and will continue to be, at all times during the Term, solely responsible for the day-to-day operation of the Studio in accordance with this Agreement, including all decisions regarding its personnel (as described in Section 8.3 below), each of whom must be competent, conscientious, and properly trained. Franchisee acknowledges that nothing in this Agreement shall, or may be construed to, create any type of employer or joint employer relationship between (a) Franchisee or any of Franchisee's personnel, and (b) Franchisor in any matter.

What This Means (2025 FDD)
According to Bft's 2025 Franchise Disclosure Document, the franchisee bears the ultimate responsibility for constructing, equipping, and operating their Bft studio in accordance with all applicable laws and regulations. While Bft may provide standard plans and specifications, the franchisee is solely responsible for ensuring compliance with federal, state, and local laws, including building codes, safety regulations, environmental laws, and the Americans with Disabilities Act. This includes securing necessary permits and licenses.
This means that the franchisee must take proactive steps to understand and adhere to all relevant legal requirements. This responsibility extends to ensuring compliance with music licensing laws if the franchisee chooses to play music not covered by the Music Licensing Fee. Furthermore, the franchisee is responsible for the day-to-day operation of the studio, including all personnel decisions, ensuring that staff are competent, conscientious, and properly trained.
This allocation of responsibility is typical in franchising, where the franchisee operates as an independent business owner. While Bft provides guidance and brand standards, the franchisee is ultimately accountable for the legal and operational compliance of their specific location. This includes managing employees, handling legal matters, and ensuring the studio meets all regulatory requirements.
Prospective Bft franchisees should carefully consider the implications of this responsibility and be prepared to invest the time and resources necessary to ensure full compliance with all applicable laws and regulations. It is advisable to consult with legal and business professionals to fully understand these obligations before entering into a franchise agreement.
