What This Means (2025 FDD)

Based on the 2025 FDD, while Item 2 details the business experience of Mark King, the Chief Executive Officer of Bft, it does not directly relate to the financing options available to Bft franchisees as discussed in Item 10. Item 2 primarily focuses on Mr. King's professional history, including his previous role as Chief Executive Officer of Taco Bell, a division of Yum! Brands, from August 2019 to December 2023, and his current roles within Bft and its affiliated entities. This information is intended to provide prospective franchisees with an understanding of the leadership and expertise behind the Bft brand.

Item 1 mentions the possibility of future funding and financing opportunities for Bft's parent entities, stating that these opportunities, if they occur, would likely involve newly created indirect parents of Assetco. The FDD indicates that Bft's involvement in such financing opportunities would be limited to guaranteeing the obligations of these newly created indirect parents. The document also notes that such a guarantee could increase the leverage ratio of debt to "Adjusted EBITDA" of Xponential and its subsidiaries, including Bft, though the exact amount of the increase is not determinable without specific details of the financing opportunity.

While Mark King's experience is substantial, the FDD does not explicitly state that his experience directly influences the financing options available to franchisees. The financing opportunities discussed are related to Bft's parent entities and their potential reorganization for funding purposes. A prospective franchisee should inquire with Bft about how the financial stability and potential financing opportunities of its parent company might indirectly benefit or affect franchisees, and what specific financing options are available to new franchisees.
