Does Bft offer franchises for indoor cycling studios under the CYCLEBAR® trademark?

As described in Item 1, our following affiliates offer franchises using trademarks other than the Marks:
- CB SPV offers and sells franchises for indoor cycling studios under the CYCLEBAR® trademark.
- CP SPV offers and sells franchises for fitness studios that provide Pilates and other exercise classes under the CLUB PILATES® trademark.
- Lindora Franchisor offers and sells franchises for studios that provide or arrange for the provision of certain medical and non-medical products and services under the LINDORA® trademark.
- PB SPV offers and sells franchises for fitness studios that provide indoor fitness classes through a combination of Pilates, weights and ballet barre under the PURE BARRE® trademark.
- RF SPV offers and sells franchises for fitness studios that provide boxing classes and other related exercise classes under the RUMBLE® trademark.
- SL SPV offers and sells franchises for studios that provide stretching classes, related therapy activities, and if approved, a proprietary "flexologist" training programs under the STRETCH LAB® trademark.
- YS SPV offers and sells franchises for studios that provide yoga and other exercise programs under the YOGA SIX® trademark.
There is no mechanism for resolving any conflicts that may arise between franchised or company-owned studios that operate under any of the Xponential Brands, including any Studio. Any resolution of conflicts regarding location, customers, support, or services will be entirely within your and our business judgment. While we do not anticipate conflicts between franchisees of different brands, we will analyze any future conflict and take action (if any) that we deem appropriate.

What This Means (2025 FDD)
According to Bft's 2025 Franchise Disclosure Document, Bft itself does not offer franchises for indoor cycling studios under the CYCLEBAR® trademark. However, one of Bft's affiliates, CB SPV, does offer and sell franchises for indoor cycling studios under the CYCLEBAR® trademark. This means that while Bft franchisees will not be operating CYCLEBAR® studios, the parent company Xponential Fitness does have other brands in its portfolio.
This distinction is important for prospective franchisees to understand, as the terms and conditions of a CYCLEBAR® franchise agreement would be governed by CB SPV, not Bft. The FDD also states that there is no mechanism for resolving conflicts that may arise between franchised or company-owned studios that operate under any of the Xponential Brands, including any Studio. Any resolution of conflicts regarding location, customers, support, or services will be entirely within your and our business judgment.
While the FDD does not anticipate conflicts between franchisees of different brands, Bft will analyze any future conflict and take action (if any) that it deems appropriate. This highlights the importance of understanding the broader Xponential Fitness network and how different brands may interact within the same market.
