What This Means (2025 FDD)
According to Bft's 2025 Franchise Disclosure Document, a franchisee's studio can be considered abandoned if it fails to actively operate for more than two business days. However, this is only the case if the franchisee does not obtain prior written consent from Bft. Additionally, any conduct by the franchisee or its principals that Bft determines indicates a desire or intent to discontinue operating the studio in accordance with the agreement or the Learning Management System can also be considered abandonment.
This definition of abandonment has significant implications for Bft franchisees. It means that franchisees must maintain consistent operation of their studios, and any planned closures, even for short periods, must be communicated to and approved by Bft in writing. Failure to do so could result in the franchisee being considered in breach of the franchise agreement, potentially leading to termination of the agreement.
The clause regarding "any other conduct" giving an indication of intent to discontinue operating the studio provides Bft with broad discretion. This could include actions such as neglecting the studio's upkeep, failing to adhere to Bft's standards, or expressing intentions to sell or close the business without Bft's approval. Franchisees should be aware of this clause and ensure that their actions and communications align with a commitment to the ongoing operation of the Bft studio.
It is important for prospective franchisees to fully understand the implications of the abandonment clause and to maintain open communication with Bft regarding any potential operational challenges or changes. This will help avoid misunderstandings and ensure compliance with the franchise agreement.
