Does the Bft Franchise Agreement give me any rights with respect to other businesses that Bft may be involved in?

Except as expressly provided in the Franchise Agreement, you have no right to exclude, control or impose conditions on the location, operation or otherwise of present or future Studios, using any of the other brands or Marks that we now, or in the future, may offer, and we may operate or license Studios or distribution channels of any type, licensed, franchised or company-owned, regardless of their location or proximity to your Designated Territory and whether or not they provide services similar to those that you offer. You do not have any rights with respect to other and/or related businesses, products and/or services, in which we may be involved, now or in the future.

What This Means (2025 FDD)
According to the 2025 Bft Franchise Disclosure Document, the Franchise Agreement does not provide franchisees with rights related to other businesses Bft may be involved in, either now or in the future. Bft retains the right to operate or license studios or distribution channels of any type, regardless of their location relative to a franchisee's designated territory, even if they offer similar services.
Bft and its affiliates reserve the right to establish and operate other Bft studios or studios using the Bft marks and system outside of a franchisee's designated territory or development area. They can also market and sell similar products and services under different trademarks, and distribute approved products and services through any alternative channel of distribution, including the internet, e-commerce, and wholesale, without providing any rights to the franchisee.
Item 1 of the Bft Disclosure Document mentions that certain Bft affiliates offer franchises under different trademarks, including CYCLEBAR, CLUB PILATES, LINDORA, PURE BARRE, RUMBLE, STRETCH LAB, and YOGA SIX. The FDD states that there is no formal mechanism for resolving conflicts that may arise between franchised or company-owned studios operating under any of the Xponential Brands, including Bft. Any resolution of conflicts regarding location, customers, support, or services will be based on the business judgment of both the franchisee and Bft. While conflicts between franchisees of different brands are not anticipated, Bft will analyze any future conflict and take action, if any, that it deems appropriate.
