What This Means (2025 FDD)
According to Bft's 2025 Franchise Disclosure Document, the "Effective Date" in the context of the Multi-Unit Agreement refers to the date the agreement is executed. Specifically, it is the date that Bft Franchise SPV, LLC, as the Franchisor, signs the Multi-Unit Agreement. This date is significant because it marks the commencement of the agreement and the point from which the Developer's obligations and the Guarantor's guarantee become active. The Guarantor's obligations are tied to the Developer's performance under the Multi-Unit Agreement, and the Effective Date serves as the starting point for these obligations.
The Guarantor's guarantee ensures the Developer's full and timely performance of all obligations under the Multi-Unit Agreement. The guarantee is in consideration for the Franchisor entering into the Multi-Unit Agreement with the Developer. The guarantee remains in effect until the Multi-Unit Agreement expires or is terminated, but it continues to apply to any obligations or liabilities that arose before the expiration or termination date. This means that even if the agreement ends, the Guarantor is still responsible for any outstanding debts or unfulfilled responsibilities of the Developer that occurred during the agreement's term.
For a prospective Bft franchisee, understanding the Effective Date is crucial because it defines when their commitments and the Guarantor's commitments begin. It also clarifies the duration of the agreement and the ongoing responsibilities even after the agreement concludes. The franchisee should ensure that the Effective Date is clearly stated in the agreement and that they fully understand all obligations tied to this date. Furthermore, the franchisee should be aware of the conditions under which the guarantee can be enforced and the potential liabilities they and their Guarantor may face.
