What This Means (2025 FDD)
Based on the 2025 FDD, Bft's Item 23 discusses the franchisee's obligations upon termination or expiration of the franchise agreement. Specifically, if the franchise agreement is terminated due to the franchisee's default, the franchisee is obligated to pay all amounts owed to Bft and its approved suppliers. This includes damages, costs, and expenses, including reasonable legal fees, incurred by Bft as a result of the franchisee's default. This clause highlights the financial consequences a franchisee may face if they fail to meet their obligations under the franchise agreement, leading to termination.
This section of the FDD outlines the financial responsibilities of the franchisee to Bft upon termination, particularly if the termination is due to the franchisee's failure to uphold their end of the agreement. The franchisee's representations and warranties within the franchise agreement are essentially promises and guarantees made to Bft. If these promises are broken, leading to a default and subsequent termination, the franchisee becomes liable for all associated costs incurred by Bft.
This is a standard clause in most franchise agreements, designed to protect the franchisor from financial losses resulting from a franchisee's breach of contract. Prospective Bft franchisees should carefully review the terms of the franchise agreement to fully understand their obligations and the potential financial repercussions of failing to meet those obligations. Understanding these financial responsibilities is crucial for assessing the overall risk and potential costs associated with investing in a Bft franchise.
