The Parties agree and acknowledge that Franchisee may not offer or provide the Pre-Opening Instructor Training at the Studio or otherwise, unless and until: (i) Franchisor approves an Authorized Instructor to attend and complete the Head Coach training program described in Section 6.3 of this Agreement; (ii) Franchisee or the Authorized Instructor at issue pays Franchisor the required Training Fee associated with the training; (iii) that Authorized Instructor completes the foregoing program and is approved as a Head Coach; and (iv) Franchisor provides written notice to that System franchisee at issue that the Head Coach can provide the Pre-Opening Instructor Training at one (1) or more System Studio(s) (the "Head Coach Conditions"). In the event the Head Coach Conditions are satisfied, only the Head Coach(es) that have satisfied the conditions may provide the Pre-Opening Instructor Training at System Studio(s).

Franchisee (and any other System franchisee that employs or otherwise supplies the Head Coach) must ensure that its Head Coach provides the Pre-Opening Instructor Training in strict accordance with System Standards and specifications, as well as the materials that Franchisor provides for use in connection with the provision of the Pre-Opening Instructor Training (the "Head Coaching Materials").
