What This Means (2025 FDD)
According to Bft's 2025 Franchise Disclosure Document, the 'System' encompasses various elements that define the Bft franchise. It includes the Bft trademarks and related designs, the distinctive interior design, display procedures, color scheme, and décor known as the Trade Dress. Furthermore, the System incorporates Bft's intellectual property, such as trade secrets, copyrights, confidential and proprietary information, designated training and exercise methods, know-how, fitness equipment, furniture, fixtures, marketing, advertising and sales promotions, cost controls, accounting and reporting procedures, and personnel management systems.
For a prospective Bft franchisee, understanding the scope of the 'System' is crucial because it outlines the core components that they are licensed to use and replicate in their own Bft studio. By adhering to the System, franchisees can maintain consistent brand standards and operational practices across all Bft locations. This uniformity is essential for protecting the brand's reputation and goodwill, as well as ensuring customer satisfaction.
Moreover, the FDD emphasizes that any new concepts, processes, or improvements developed by the franchisee that relate to Bft Studios or the System become the sole property of Bft. This means that franchisees must promptly notify Bft of any such innovations and provide all necessary information and documentation to transfer ownership to Bft. Bft, in turn, may utilize or disclose this information to other franchisees within the System. This clause highlights the importance of franchisees contributing to the System's ongoing development while acknowledging Bft's ultimate control over its intellectual property.
