We have not established other franchises or company-owned outlets or another distribution channel offering or selling similar products or services under a different trademark. We have not established, nor do we presently intend to establish, other franchised or company-owned businesses that are similar to the Studio and that sell our Approved Products and Approved Services under a different trade name or trademark, but we may do so in the future without your consent. Certain of our affiliates are involved with franchising and other activities as previously
disclosed in Item 1 of this Disclosure Document, and such affiliates may continue conducting franchising and other activities.
As described in Item 1, our following affiliates offer franchises using trademarks other than the Marks:
- CB SPV offers and sells franchises for indoor cycling studios under the CYCLEBAR® trademark.
- CP SPV offers and sells franchises for fitness studios that provide Pilates and other exercise classes under the CLUB PILATES® trademark.
- Lindora Franchisor offers and sells franchises for studios that provide or arrange for the provision of certain medical and non-medical products and services under the LINDORA® trademark.
- PB SPV offers and sells franchises for fitness studios that provide indoor fitness classes through a combination of Pilates, weights and ballet barre under the PURE BARRE® trademark.
- RF SPV offers and sells franchises for fitness studios that provide boxing classes and other related exercise classes under the RUMBLE® trademark.
- SL SPV offers and sells franchises for studios that provide stretching classes, related therapy activities, and if approved, a proprietary "flexologist" training programs under the STRETCH LAB® trademark.
- YS SPV offers and sells franchises for studios that provide yoga and other exercise programs under the YOGA SIX® trademark.
There is no mechanism for resolving any conflicts that may arise between franchised or company-owned studios that operate under any of the Xponential Brands, including any Studio. Any resolution of conflicts regarding location, customers, support, or services will be entirely within your and our business judgment.

What This Means (2025 FDD)
According to the 2025 Bft Franchise Disclosure Document, Bft states that it does not currently intend to establish other franchised or company-owned businesses similar to the Studio that sell Approved Products and Approved Services under a different trade name or trademark. However, Bft retains the right to do so in the future without the franchisee's consent. This means that Bft could potentially introduce competing brands or outlets at a later date.
Bft's FDD also indicates that certain affiliates are involved with franchising and other activities. Specifically, CB SPV, CP SPV, Lindora Franchisor, PB SPV, RF SPV, SL SPV, and YS SPV offer franchises under the CYCLEBAR®, CLUB PILATES®, LINDORA®, PURE BARRE®, RUMBLE®, STRETCH LAB®, and YOGA SIX® trademarks, respectively. These affiliated brands operate independently, and there is no mechanism for resolving conflicts that may arise between them and Bft franchised or company-owned studios.
Bft reserves the right to market and sell similar products and services under different trademarks at any location, whether within or outside the franchisee's designated territory. They can also use the Marks and System to distribute Approved Products and Services through any alternative channel of distribution, including the Internet, e-commerce, wholesale stores, and retail stores. Furthermore, Bft has the right to acquire, merge with, or affiliate with any business, even those offering similar products or services under different marks, within or outside the franchisee's territory. These reserved rights highlight the potential for competition from Bft itself or its affiliates, even if not directly under a similar brand name.
