that Franchisor, as part of its right to inspect and audit the operations of the Studio on an ongoing basis, may require that Franchisee demonstrate that all required personnel has participated in and successfully completed the Pre-Opening Instructor Training and corresponding test.

  • C. Head Coaching. In the event Franchisee wishes to have one (1) of the Studio's Authorized Instructors provide the Pre-Opening Instructor Training at the Studio to prospective instructors as part of the Approved Services, then that Authorized Instructor must attend and complete the "Head Coach" course provided by Franchisor's head coach designed to provide the Authorized Instructor with additional instruction necessary for that individual to become a head coach that can provide the Pre-Opening Instructor Training (each, a "Head Coach"). Franchisor is not obligated to approve any Franchisee request to send a given Authorized Instructor to Head Coaching, and Franchisee must: (i) not be in default of any provision of this Agreement as a condition to Franchisor's approval of such a request; and (ii) pay Franchisor its thencurrent Training Fee in connection with any Head Coaching provided (the "Head Coaching Fee").
