esignated supplier and will pay the designated provider directly for all fees associated with the use of the designated provider's software. Franchisee is not allowed to use an unapproved external terminal to process transactions.
- 5.11 Interest and Late Charges. Amounts due to Franchisor (except interest on unpaid amounts due) not paid when due shall bear interest from the date due until paid at the lesser of one and one-half percent (1.5%) per month or the highest rate of interest allowed by law. Franchisor may also recover its reasonable attorneys' fees, costs and other expenses incurred in collecting amounts owed by Franchisee.
6. FRANCHISOR SERVICES
In addition to the services described elsewhere in this Agreement, Franchisor will do the following:
- 6.1 General Guidance for Opening. Franchisor shall consult and advise Franchisee on the proper display of the Marks, layout and design, procurement of fitness and other equipment (such as weights, cardio equipment, heart monitors, and mats), furniture, fixtures, initial inventories, managing construction or remodeling of the Studio, and certain other items related to the development and operation of BFT Studios. After Franchisee has executed an accepted lease for the Authorized Location, Franchisor shall deliver to Franchisee specifications and standards for building, equipment, furnishings, fixtures, layout, design and signs relating to the Authorized Location and shall provide reasonable consultation in connection with the development of the Studio. Franchisee's architect is responsible for proposing changes to the layout, design and construction specifications provided by Franchisor as necessary to meet applicable legal requirements and to adapt for unique physical characteristics of the Authorized Location, but Franchisee agrees that no such changes, alterations or modifications whatsoever to Franchisor's selected layout and design specifications will be implemented without Franchisor's prior written consent.
- 6.2 Training-Related Programs and Obligations. Franchisor will provide the training programs described in Section 5.5 and below, and Franchisee must, at all times during the Term, be in compliance with all training obligations described in Section 5.5 and set forth below.
- A. Initial Training Program; Designated Manager Training Program. All persons required to complete the Owner/Operator Module, the Designated Manager Training Program and the Pre-Opening Instructor Training must do so prior to engaging in any activities related to the operation of the Studio. The specifics of each of the foregoing training programs shall be set forth in the Learning Management System. All such training is conducted, at Franchisor's option, at Franchisor's corporate headquarters or another training facility Franchisor designates. At Franchisee's option, one (1) or more other individuals that will be responsible for providing the Approved Services at the Studio must participate and complete Pre-Opening Instructor Training.

What This Means (2025 FDD)
According to Bft's 2025 Franchise Disclosure Document, franchisees must adhere to specific training requirements throughout the term of their agreement. Bft will provide training programs, and franchisees must comply with all training obligations detailed in Section 5.5 of the agreement and within the Learning Management System. This includes ensuring that all individuals required to complete the Owner/Operator Module, the Designated Manager Training Program, and the Pre-Opening Instructor Training do so before engaging in any studio-related activities. The specifics of these training programs are outlined in the Learning Management System, and training is conducted at Bft's corporate headquarters or another designated facility.
Bft also grants franchisees access to its online Learning Management System, which contains electronic manuals and written policies and procedures for operating Bft Studios. Franchisees must comply with the System Standards and any revisions made to the Learning Management System, including updates communicated through written memoranda and notices. This system remains Bft's property and is subject to confidentiality requirements.
Furthermore, Bft may require franchisees, their Designated Managers, or Authorized Instructors to attend up to five additional days of Remedial Training if Bft determines the studio is not operating in accordance with the agreement or the Learning Management System, or if the franchisee is in material default. This Remedial Training is designed to address the noncompliance issue and may take place at Bft's training facility, the franchisee's studio, or another designated location. While Bft may provide or request up to five days of additional/refresher training each year, Bft will not charge a Training Fee in connection with such required training.
