According to the Bft agreement, how must all notices be delivered?

11. NOTICES AND PAYMENTS

All notices which the Parties hereto may be required or permitted to give under this Agreement must be in writing and must be delivered or mailed by certified or registered mail, return receipt requested, postage paid, or by reliable overnight delivery service. Notices sent to Franchisor must be delivered to the address show in the opening paragraph of this Agreement, attention: Brand President. Notices sent to Developer must be delivered to the address shown on Exhibit A hereto, to the attention of the person indicated on Exhibit A. Either Party may change its notice address at any time by written notice given to the other Party as herein provided. Notices will be deemed delivered when actually delivered if delivered by hand, three (3) business days after postmark by the United States Postal Service if delivered by certified or registered mail, or the next business day after deposit with reliable overnight delivery service if delivered in that manner.

Notwithstanding the above, Franchisor may, at its sole discretion, provide notices required or permitted under this Agreement to Developer via electronic mail at Developer's designated email address provided on Exhibit A hereto. Notices sent via electronic mail will be deemed delivered one (1) business day after transmission.

What This Means (2025 FDD)

According to Bft's 2025 Franchise Disclosure Document, all notices between Bft and the developer must be in writing. These notices must be delivered or mailed via certified or registered mail with a return receipt requested and postage prepaid. Alternatively, a reliable overnight delivery service can be used. Notices to Bft should be sent to the address in the opening paragraph of the agreement, directed to the Brand President. Notices to the developer should be sent to the address on Exhibit A, directed to the person indicated there. Either party can change their address by providing written notice as described.

Notices are considered delivered immediately upon hand delivery, three business days after being postmarked by the United States Postal Service if sent by certified or registered mail, or the next business day after being deposited with a reliable overnight delivery service.

Bft has the option to send notices via electronic mail to the developer's designated email address on Exhibit A. Notices sent this way are considered delivered one business day after transmission. This provides Bft with some flexibility in how they communicate with developers, potentially speeding up communication.
