Developer acknowledges that Franchisor shall disclose Trade Secrets and other Confidential Information to Developer during the training program, through the confidential Operations Manual, and as a result of guidance furnished to Developer during the Term of this Agreement.
Developer shall not acquire any interest in the Trade Secrets or other Confidential Information, other than the right to use it in the development, construction, and operation of the Franchised Restaurants and in performing its duties during the Term of this Agreement.
Developer acknowledges that the use or duplication of the Trade Secrets or other Confidential Information in any other business venture would constitute an unfair method of competition.
Developer acknowledges that the Trade Secrets and other Confidential Information are proprietary and are disclosed to Developer solely on the condition that Developer (and all holders of a legal or beneficial interest in Developer and all officers, directors, executives, members, managers, and members of the professional staff of Developer): (a) shall not use the Trade Secrets or other Confidential Information in any other business or capacity; (b) shall maintain the absolute confidentiality of the Trade Secrets and other Confidential Information during and after the Term of this Agreement; (c) shall not make any unauthorized copies of any portion of the Trade Secrets or other Confidential Information disclosed or obtained by Developer; and (d) shall adopt and implement all reasonable procedures prescribed from time to time by Franchisor to prevent unauthorized use or disclosure of the Trade Secrets and other Confidential Information.
Developer shall take all necessary precautions to ensure that Developer discloses Confidential Information only to the extent necessary for any such employee to carry out the employee's job duties and any employee to whom Developer discloses Confidential Information maintains the Confidential Information in confidence and comply with the confidentiality provisions of this Agreement.
Developer shall obtain from all entities and/or persons to whom Confidential Information is disclosed an executed confidentiality and non-disclosure agreement and/or covenant not to compete in the form as provided in the Operations Manual.
