Are there any restrictions or conditions that limit a Beyond Juicery Eatery franchisee's access to customers?

Within your Designated Area, neither we nor our affiliates have or will grant franchises or operate company-owned or affiliate-owned brick and mortar Restaurants using our Trademarks. Notwithstanding the foregoing, under the Franchise Agreement, enclosed malls, institutions (such as without limitation, hospitals, schools, military bases, or convention centers), airports, parks (including theme parks), casinos, and sports arenas will be excluded from your Designated Area and we may open other Restaurants, or franchise the right to open Restaurants to other persons, at any of these locations, regardless of where they are located and regardless of the name under which they operate. As a result, you do not receive an "exclusive" territory since we and our affiliates also have the right, in our sole discretion, to grant or operate other franchises outside of your Designated Area even if they compete for or deliver to customers within your Designated Area. If the Restaurant is located in an enclosed mall, institution, airport, casino, park, or sports arena, then the Franchisee's Designated Area will be limited to the confines of that enclosed mall, institution, airport, casino, park, or sports arena. You may face competition from other franchisees, from outlets that we own, or from other channels of distribution or competitive brands that we control.
Except as expressly limited by the preceding paragraphs, we and our affiliates retain all rights with respect to Beyond Juicery + Eatery Restaurants, the Trademarks, the sale of similar or dissimilar products and services, and any other activities we deem appropriate whenever and wherever we desire, including, but not limited to:

What This Means (2025 FDD)
According to the 2025 FDD, a Beyond Juicery Eatery franchisee's access to customers is subject to certain restrictions and conditions. While franchisees are typically granted a designated area, this area does not provide an exclusive territory. Beyond Juicery Eatery retains the right to operate or franchise other locations, even if they compete for customers within a franchisee's designated area. This means that a franchisee may face competition from other franchisees, company-owned outlets, or other distribution channels controlled by Beyond Juicery Eatery.
Specifically, the FDD states that certain locations are excluded from the designated area. These include enclosed malls, institutions (such as hospitals, schools, military bases, or convention centers), airports, parks (including theme parks), casinos, and sports arenas. Beyond Juicery Eatery can open other restaurants or franchise the right to open restaurants to others at these locations, regardless of their proximity to a franchisee's designated area. If a Beyond Juicery Eatery restaurant is located in one of these excluded locations, the franchisee's designated area is limited to the confines of that specific location.
Furthermore, Beyond Juicery Eatery reserves all rights regarding Beyond Juicery + Eatery Restaurants, trademarks, and the sale of similar or dissimilar products and services, allowing them to engage in any activities they deem appropriate, whenever and wherever they desire. Additionally, while franchisees must offer delivery and off-site catering services, they cannot engage in off-site food preparation without prior written consent from Beyond Juicery Eatery. The franchisor reserves the right to complete these services themselves or grant the right to other affiliates or franchisees, even within a franchisee's designated area, without owing any compensation to the franchisee.
