Restaurant Premises. In order to ensure a uniform quality of products and services throughout the "Beyond Juicery + Eatery" System, you must maintain and comply with our standards. Although you are not required to purchase or lease real estate from us or our affiliates, we must approve the location for your Restaurant (see Item 11), provided, however, that our approval of your location is not a representation or evaluation that we believe the location will be a profitable location for you. You are solely responsible for the financial risks and rewards related to the location. We also have the right, but not the obligation, to review and to approve or disapprove any lease for the Restaurant premises. You and the landlord must execute the Conditional Assignment of Lease form attached as Exhibit H to this disclosure document. You must construct and equip your Restaurant in accordance with our then-current approved design, specifications, and standards. In addition, it is your responsibility to ensure that your building plans comply with the Americans with Disabilities Act and all other federal, state, or local laws.

Proprietary Products, Designated Suppliers, Approved Products and Suppliers. We require you to purchase proprietary "Beyond Juicery + Eatery" inventory, fruits, vegetables, spices, and other food products and raw materials used in preparing our proprietary recipes, and such other goods and services and such other elements of the System as we determine from time to time, in our sole discretion

("Proprietary Products") from us or a supplier approved by us ("Designated Supplier"), You must purchase or lease all of the Restaurant's non-proprietary equipment, furniture, computers, inventory, small wares, ingredients, third-party delivery systems, and other materials used in the operation of the Restaurant from a supplier approved by us ("Approved Supplier").

You are required to purchase all of your food products and certain other supplies from one of our designated suppliers. For example, at this time, you must purchase all your bottled juice, peanut butter, bananas, almond butter, salad dressings, hummus, salsa, certain other Beyond branded food items, and certain other produce items from a Designated Supplier. You must purchase all of your other food items and supplies as we may further describe in our Operations Manual from a Designated Supplier. You must purchase your phone, internet, and data security systems, your POS System, the Beyond Juicery + Eatery mobile application, and other proprietary software used in connection with your Restaurant from Designated Suppliers. You must purchase a music player and license to play music, digital menu content used on your digital menu boards from Designated Suppliers. You must purchase licenses to use the restaurant management software, restaurant operations software, and inventory management software from Designated Suppliers. Other than Commissary, Beyond Food Trailer, and BJE Gift Cards, there are no Approved Suppliers or Designated Suppliers in which any of our officers own an interest.

In the fiscal year ending December 31, 2024, Beyond Juicery Eatery Commissary, LLC received $2,148.00 in revenue based on required franchisee purchases.

From time to time, we will provide you with a list of approved architects, contractors, manufacturers, suppliers, vendors, and distributors ("Approved Suppliers List") and approved inventory, supplies, products, fixtures, furniture, equipment, signs, stationery, supplies, and other items or services necessary to operate the Restaurant ("Approved Supplies List").

According to Beyond Juicery Eatery's 2025 Franchise Disclosure Document, franchisees must construct and equip their restaurants in accordance with the franchisor's then-current approved design, specifications, and standards. These standards ensure uniformity throughout the Beyond Juicery Eatery system. Franchisees are also responsible for ensuring that their building plans comply with the Americans with Disabilities Act and all other federal, state, or local laws.

Beyond Juicery Eatery's system regulates the types, models, and brands of fixtures, furniture, equipment, furnishings, and signs. Franchisees must use approved products and supplies when operating the restaurant. While franchisees are not required to purchase or lease real estate from Beyond Juicery Eatery or its affiliates, the franchisor must approve the restaurant's location. However, this approval does not guarantee profitability, as the franchisee is solely responsible for the financial risks and rewards related to the location. Beyond Juicery Eatery also has the right to review and approve or disapprove any lease for the restaurant premises, and a Conditional Assignment of Lease form must be executed.

Beyond Juicery Eatery requires franchisees to purchase proprietary inventory, including fruits, vegetables, spices, and other food products and raw materials used in preparing their recipes, from Beyond Juicery Eatery or a designated supplier. Franchisees must also purchase or lease all non-proprietary equipment, furniture, computers, inventory, small wares, ingredients, third-party delivery systems, and other materials from an approved supplier. These purchases and leases account for approximately 80% of the overall costs in establishing the restaurant and 40% of the overall costs in operating the restaurant.

Franchisees must offer for sale and sell all types of smoothies, juices, food menu items, and other categories of food and beverage products that Beyond Juicery Eatery authorizes. They cannot offer any other category of products or services or use the restaurant's premises for any purpose other than operating the restaurant in full compliance with the Franchise Agreement and Operations Manuals. All services must be prepared by properly trained personnel strictly in accordance with the Operations Manual and the Beyond Juicery Eatery system. Franchisees must also maintain a sufficient inventory of ingredients, food and beverage products, and other supplies to operate the restaurant at maximum capacity. Standards with written specifications and requirements must be maintained by Approved Suppliers for their Approved Supplies. Beyond Juicery Eatery may revise and update its Operations Manuals and other written materials from time to time and reserves the right to consent to or require limited variations from its standards.
