Note 7 You must renovate and modernize the Restaurant's building, premises, signs, and equipment upon our request once during the initial term of the Franchise Agreement at any time after the end of the 5th year of the initial term of the Franchise Agreement to conform to the building design, trade dress, color scheme, and presentation of our Trademarks consistent with the current image of Restaurants using the "Beyond Juicery + Eatery" System, provided, however, that the cost of each renovation and modernization shall not exceed $100,000. In addition, you must repair and maintain the exterior and interior of your premises, at your own expense, as reasonably directed by us. If you fail to make such required repairs or maintenance or the required renovations and modernizations within thirty (30) days after receipt of written notice from us setting forth the specific repairs or alterations that are required, then we, without being guilty in any manner of trespass, fault, or negligence, and without prejudice to any of the other remedies we have, may have such repairs or alterations completed, at your expense, to maintain your Restaurant in accordance with our required standards. If this occurs, you must immediately reimburse us for all costs we incurred to make such renovations, repairs, or alterations. You will indemnify and hold
us, our franchisees, and affiliates harmless from all fines, suits, proceedings, claims, demands, damages, liabilities, or costs, including, without limitation, reasonable attorney fees, arising out of any action or proceeding of any kind or nature that arises or grows out of or is in any way connected to the construction, renovation, or operation by you of the Restaurant. These renovation and remodeling expenses do not relieve you of the obligation to maintain the Restaurant and the premises, with routine maintenance obligations, throughout the term of the franchise agreement.

According to Beyond Juicery Eatery's 2025 Franchise Disclosure Document, franchisees have specific obligations to maintain and update their restaurants. Beyond Juicery Eatery also requires franchisees to maintain both the exterior and interior of the premises at their own expense, following the franchisor's directions. If a franchisee fails to make necessary repairs, maintenance, or renovations within 30 days of written notice from Beyond Juicery Eatery, the franchisor can complete the work at the franchisee's expense. In such cases, the franchisee must immediately reimburse Beyond Juicery Eatery for all costs incurred.
These expenses for renovation and remodeling do not relieve the franchisee of their routine maintenance obligations throughout the term of the franchise agreement. Franchisees are also required to maintain an inventory of proprietary merchandise and food products for retail sale to customers. These requirements ensure that all Beyond Juicery Eatery locations maintain a consistent brand image and quality, which is typical in franchising to protect the brand's reputation.
