What This Means (2025 FDD)

According to Beyond Juicery Eatery's 2025 Franchise Disclosure Document, the addendum to the franchise agreement for franchisees in Rhode Island is to ensure compliance with The Rhode Island Franchise Investment Act §19-28.1-14. This addendum modifies specific sections of the franchise agreement to align with Rhode Island law.

Specifically, the addendum addresses general releases required for renewal or transfer, ensuring that these releases exclude claims arising under The Rhode Island Franchise Investment Act. This means a franchisee isn't waiving their rights under this specific Rhode Island law when signing a general release. The addendum also amends sections to ensure that any clauses restricting jurisdiction or venue to outside of Rhode Island, or requiring the application of other states' laws, are void concerning claims enforceable under The Rhode Island Franchise Investment Act. This ensures that Rhode Island franchisees can pursue claims under Rhode Island law within the state.

The addendum also states that each provision is effective only to the extent that the jurisdictional requirements of Rhode Island law are independently met. In case of inconsistencies between the addendum and the franchise agreement, the terms of the addendum will take precedence. This ensures that the franchisee's rights under Rhode Island law are protected and that the state's laws are prioritized over conflicting terms in the standard franchise agreement.
