Landlord acknowledges and agrees that Franchisor's right to exercise its option to accept assignment of the Lease is not contingent upon nor is Franchisor obligated in any manner to cure any default of Franchisee under the Lease.
Franchisee agrees to execute any and all documents requested by Franchisor in order to fully exercise any of Franchisor's rights under this Assignment and hereby appoints Franchisor as its attorney-in-fact with the full right and power to execute all documents and to take all action that may be necessary or desirable for Franchisor to take such assignment or otherwise exercise any of Franchisor's rights under this Assignment.

What This Means (2025 FDD)
According to Beyond Juicery Eatery's 2025 Franchise Disclosure Document, franchisees are responsible for several actions related to leased real estate. Before executing a lease, the franchisee must allow Beyond Juicery Eatery to review and consent to the lease, and Beyond Juicery Eatery reserves the right to charge a fee for this review. The franchisee must ensure that all necessary parties execute the lease within ten days of receiving Beyond Juicery Eatery's consent.
Furthermore, the franchisee must provide Beyond Juicery Eatery with a fully executed copy of the lease. If the Franchise Agreement terminates or expires and Beyond Juicery Eatery wishes to take over the lease, they will provide written notice to the landlord within 30 days of the termination or expiration. The landlord can rely solely on this notice as Beyond Juicery Eatery's acceptance of the lease assignment.
Additionally, the franchisee agrees to sign any documents Beyond Juicery Eatery requests to exercise its rights under the lease assignment and appoints Beyond Juicery Eatery as their attorney-in-fact to execute these documents and take necessary actions. If the franchisee defaults on the lease, Beyond Juicery Eatery's right to accept the lease assignment is not contingent on curing the franchisee's default. If Beyond Juicery Eatery does take assignment of the lease, they can further assign it to another Beyond Juicery Eatery franchisee without needing the landlord's consent.
