WHEREAS, Franchisor and its Affiliates* have developed, and are in the process of further developing, a System identified by the service mark "Beyond Juicery + Eatery" and relating to the establishment and operation of a Restaurant that provides a wide variety of made to order smoothies, juices, wraps, sandwiches, salads, soups, retail package goods, pre-made meals, and other menu items in a distinctive atmosphere with exceptional customer service.
You agree that all Customer Data is and shall be deemed to be owned exclusively by us.
For purposes of the Privacy Laws, we are the "controller" and you are a "processor" of any Customer Data.
Subject to your and each of your Principal Owners' compliance with the terms and conditions of this Agreement, we grant you a nonexclusive, non-sublicensable, limited right to collect, use, share, disclose, store, and delete (collectively, "process") Customer Data during the Term of this Agreement solely as necessary for the operation of your Restaurant.
All such processing of Customer Data by you must at all times be in compliance with i) all applicable laws, including without limitation, the Privacy Laws and ii) our Standards and Specifications, System, and Operations Manuals, which we may amend from time to time in our sole discretion.
You shall not sell, assign, transfer, or use Customer Data for any purpose other than operating your Restaurant and marketing Beyond Juicery + Eatery services and products.
