To whom should a Beyond Juicery Eatery developer disclose Confidential Information?

Developer shall take all necessary precautions to ensure that Developer discloses Confidential Information only to the extent necessary for any such employee to carry out the employee's job duties and any employee to whom Developer discloses Confidential Information maintains the Confidential Information in confidence and comply with the confidentiality provisions of this Agreement.
Developer shall obtain from all entities and/or persons to whom Confidential Information is disclosed an executed confidentiality and non-disclosure agreement and/or covenant not to compete in the form as provided in the Operations Manual.
Developer shall enforce this Section 6 as to its owners, officers, directors, members, managers, employees, agents, and representatives and shall be liable to Franchisor for any unauthorized disclosure or use of Trade Secrets or other Confidential Information by any of them.

What This Means (2025 FDD)
According to Beyond Juicery Eatery's 2025 Franchise Disclosure Document, a developer must take necessary precautions to ensure that Confidential Information is disclosed only to the extent necessary for an employee to carry out their job duties. Furthermore, the developer must ensure that any employee to whom Confidential Information is disclosed maintains the Confidential Information in confidence and complies with the confidentiality provisions outlined in the Area Development Agreement.
Beyond Juicery Eatery requires the developer to obtain an executed confidentiality and non-disclosure agreement and/or covenant not to compete from all entities and/or persons to whom Confidential Information is disclosed. The form for this agreement is provided in the Operations Manual.
The developer is responsible for enforcing these confidentiality obligations among their owners, officers, directors, members, managers, employees, agents, and representatives. The developer is also liable to Beyond Juicery Eatery for any unauthorized disclosure or use of Trade Secrets or other Confidential Information by any of these individuals or entities.
