("Proprietary Products") from us or a supplier approved by us ("Designated Supplier"), You must purchase or lease all of the Restaurant's non-proprietary equipment, furniture, computers, inventory, small wares, ingredients, third-party delivery systems, and other materials used in the operation of the Restaurant from a supplier approved by us ("Approved Supplier").

You are required to purchase all of your food products and certain other supplies from one of our designated suppliers. For example, at this time, you must purchase all your bottled juice, peanut butter, bananas, almond butter, salad dressings, hummus, salsa, certain other Beyond branded food items, and certain other produce items from a Designated Supplier. You must purchase all of your other food items and supplies as we may further describe in our Operations Manual from a Designated Supplier. You must purchase your phone, internet, and data security systems, your POS System, the Beyond Juicery + Eatery mobile application, and other proprietary software used in connection with your Restaurant from Designated Suppliers. You must purchase a music player and license to play music, digital menu content used on your digital menu boards from Designated Suppliers. You must purchase licenses to use the restaurant management software, restaurant operations software, and inventory management software from Designated Suppliers. Other than Commissary, Beyond Food Trailer, and BJE Gift Cards, there are no Approved Suppliers or Designated Suppliers in which any of our officers own an interest.

In the fiscal year ending December 31, 2024, Beyond Juicery Eatery Commissary, LLC received $2,148.00 in revenue based on required franchisee purchases.

From time to time, we will provide you with a list of approved architects, contractors, manufacturers, suppliers, vendors, and distributors ("Approved Suppliers List") and approved inventory, supplies, products, fixtures, furniture, equipment, signs, stationery, supplies, and other items or services necessary to operate the Restaurant ("Approved Supplies List"). Such lists will specify the manufacturer, supplier, and distributor as well as the inventory, products, fixtures, furniture, equipment, signs, stationery, suppliers, and services that we have approved to be carried or used in the Restaurant. There may be only one Approved Supplier for an Approved Supply. We may revise the Approved Suppliers List and Approved Supplies List from time to time in our sole discretion. Such approved lists will be given to you as we deem advisable.

If you want to (i) offer for sale at the Restaurant any brand of product not then-approved by us, (ii) use any brand of product or supply in the operation of the Restaurant that is not then-approved by us as meeting its minimum specifications and quality standards, or (iii) purchase any product from a supplier that is not then-designated by us as an Approved Supplier, you must first notify us in writing and, if requested by us, submit samples and such other information as we require for examination and/or testing or to otherwise determine whether such product, material or supply, or such proposed supplier meets our specifications and quality standards. You must pay a charge not to exceed the reasonable cost of the inspection and evaluation and the actual cost of the test and approval of the proposed supplier or product.

According to Beyond Juicery Eatery's 2025 Franchise Disclosure Document, an 'Approved Supplier' is a supplier approved by the franchisor from which franchisees must purchase or lease non-proprietary equipment, furniture, computers, inventory, small wares, ingredients, third-party delivery systems, and other materials used in the operation of the restaurant. The FDD also states that Beyond Juicery Eatery will provide franchisees with an 'Approved Suppliers List' which specifies the approved manufacturers, suppliers, and distributors, as well as the inventory, products, fixtures, furniture, equipment, signs, stationery, suppliers, and services that have been approved for use in the restaurant. The franchisor may revise these lists at their discretion. Standards with written specifications and requirements must be maintained by Approved Suppliers for their Approved Supplies.

Beyond Juicery Eatery approves suppliers who can match the exact ingredients, blend, freshness standards, overall quality, and appearance standards required by the 'Beyond Juicery + Eatery' System. The criteria for approving a proposed supplier include: (1) ability to make products in conformity with their specifications; (2) willingness to protect the trade secrets of a product without dissemination to others; (3) production and delivery capability; (4) reputation and integrity of supplier; (5) financial condition and insurance coverage of the supplier; (6) adherence to food safety standards; and (7) HACCP approved.

If a franchisee wants to use a non-approved supplier, they must notify Beyond Juicery Eatery in writing and submit samples and other information for examination and testing to determine if the supplier meets the brand's specifications and quality standards. The franchisee must pay a charge not to exceed the reasonable cost of the inspection and evaluation and the actual cost of the test and approval of the proposed supplier or product, which is estimated to be $5,000 (See Item 6). Beyond Juicery Eatery reserves the right to reexamine or retest the facilities and products of any supplier of an approved item and to revoke such approval if the item fails to continue to meet their standards or criteria, providing written notice of any revocation of an Approved Supplier.
