Beyond Juicery Eatery IP, LLC (the "Licensor") owns the Trademarks listed in this Item. Our Licensor intends to file all required affidavits and renewals as the same become due. Pursuant to a Trademark
License Agreement dated March 22, 2019 (the "License Agreement"), Licensor has licensed us the right to use the Trademarks listed in this Item and to sublicense the use of the Trademarks listed in this Item in association with the Restaurant Business. The term of the License Agreement is perpetual unless terminated in accordance with its terms, including if we no longer desire to use the Trademarks, we fail to perform our obligations under the License Agreement with respect to the quality control standards set by Licensor, or by mutual agreement of us and Licensor. If the License Agreement is terminated, your franchise agreement will not be affected and you will continue to be able to operate your franchised Restaurant under the terms of your Franchise Agreement with the Licensor assuming the obligations and benefits of the franchisor. The License Agreement may only be modified in a writing signed by us and Licensor. If you fail to comply with the quality control standards set by Licensor with regard to the use of the Trademarks, Licensor may terminate your Franchise Agreement.
