- 6.08 You shall purchase our proprietary products from us or our Designated Supplier at a reasonable price established by us or our supplier. You acknowledge that we may profit from the sale of proprietary products to you and receive consideration from the supplier with respect to your purchases of such proprietary products by you.
- 6.09 During the Term of this Agreement, you shall (a) repair, maintain, and keep the interior and exterior of your Restaurant (and all fixtures, furnishings, signs, menu boards, equipment, sidewalks, walkways, and parking lots) in good order and first-class condition and repair and in compliance with the Standards and Specifications of the System and all applicable laws, rules, regulations, and ordinances, and (b) as reasonably required by us, upgrade your Restaurant to the then-current Standards and Specifications of the System. Such upgrade to renovate and modernize your Restaurant's building, premises, signs, and equipment shall be done at our request, but not more than once every five (5) years to conform to the building design, trade dress, color scheme, and presentation of our Trademarks consistent with the current image of Restaurants using the Beyond Juicery + Eatery System, provided, however, that the cost of each renovation and modernization shall not exceed one hundred thousand dollars ($100,000). You must renovate, repair, and alter the exterior and interior of your premises at your own expense as reasonably directed by us. If you fail to make such required renovations within thirty (30) days after your receipt of written notice from us setting forth the specific repairs or alterations that are required, then we, without being guilty in any manner of trespass, fault or negligence, and without prejudice to any of the other remedies we have, may have such repairs or alterations completed to maintain your Restaurant in accordance with our required standards. If this occurs, you must immediately reimburse us for all costs we incur to make such renovations, repairs, or alterations. You will indemnify and hold us, our franchisees, and affiliates harmless from all fines, suits, proceedings, claims, demands, damages, liabilities or costs, including, without limitation, actual attorneys' fees,
arising out of any Action or proceeding of any kind or nature that arises or grows out of or is in any way connected to the construction, renovation, or operation by you of your Restaurant. This renovation and remodeling obligation is separate and apart from any remodeling required as a condition of your renewal of this Agreement under Section 16.

What This Means (2025 FDD)
According to Beyond Juicery Eatery's 2025 Franchise Disclosure Document, the franchise agreement emphasizes the importance of adhering to the System's standards and specifications. The agreement states that the franchisee must maintain the interior and exterior of their Restaurant in good order and in compliance with the System's standards, applicable laws, rules, regulations, and ordinances. Furthermore, Beyond Juicery Eatery can reasonably require franchisees to upgrade their Restaurants to meet the then-current System standards.
These upgrades, which can include renovations and modernization of the Restaurant's building, premises, signs, and equipment, are to be done at the franchisee's expense when requested by Beyond Juicery Eatery, but not more than once every five years. The cost of each renovation and modernization is capped at $100,000. The franchisee is obligated to renovate, repair, and alter the exterior and interior of their premises as directed by Beyond Juicery Eatery. Failure to comply with these requirements within thirty days of written notice allows Beyond Juicery Eatery to complete the repairs or alterations themselves, with the franchisee responsible for immediate reimbursement of all costs incurred.
Beyond Juicery Eatery also maintains control over the brand's online presence. Franchisees cannot maintain their own websites or social media accounts that use the Trademarks or market similar goods and services. Beyond Juicery Eatery alone can manage all internet, social media, and electronic commerce activities related to the System. This includes establishing and modifying websites and providing sub-pages for individual Restaurants. Franchisees must provide updated content for these sub-pages as specified in the Operations Manuals. This level of control ensures brand consistency and uniformity across all franchise locations and online platforms.
