Any Designated Manager and any officer that does not own equity in the Franchisee entity must sign the "System Protection Agreement," the form of which is attached to this Franchise Disclosure Document in Exhibit H. All of your employees, independent contractors, agents, or representatives that may have access to our confidential information must sign a "Confidentiality Agreement" (unless they already signed a System Protection Agreement), the current form of which is attached to this Franchise Disclosure Document in Exhibit H. Each direct and indirect owner (i.e., each person holding a direct or indirect ownership interest in your entity) of the Franchisee entity must sign a "Franchise Owner Agreement," the form of which is attached to the Franchise Agreement as Attachment C. We also require that the spouses of the Beverly Ann's Cookie Franchise owners sign the Franchise Owner Agreement. The Franchise Owner Agreement extends the obligations of the Franchise Agreement to each owner and their spouse with each owner and spouse bound to and liable for the terms of the Franchise Agreement.

According to Beverly Anns Cookie's 2025 Franchise Disclosure Document, the System Protection Agreement form is included as Exhibit H within the FDD. This agreement must be signed by any Designated Manager and any officer who does not own equity in the Franchisee entity.
Additionally, all employees, independent contractors, agents, or representatives who may access Beverly Anns Cookie's confidential information must sign a Confidentiality Agreement, unless they have already signed a System Protection Agreement. The current form for the Confidentiality Agreement is also attached as Exhibit H in the FDD.
Furthermore, each direct and indirect owner of the Franchisee entity, along with their spouses, must sign a Franchise Owner Agreement, which is attached to the Franchise Agreement as Attachment C. This agreement extends the obligations of the Franchise Agreement to each owner and their spouse, making them bound to and liable for the terms outlined in the Franchise Agreement.
