What This Means (2025 FDD)
According to Beverly Anns Cookie's 2025 Franchise Disclosure Document, the specific location where the designated territory for a franchise is defined can be found in Attachment A to the Franchise Agreement. The franchise agreement grants the franchisee the right to operate their mobile business within this defined territory. However, this license is non-exclusive, meaning Beverly Anns Cookie may grant other franchises or operate its own businesses nearby.
Beverly Anns Cookie retains significant rights outside the franchisee's territory, including the right to operate or franchise businesses, sell products through alternative channels like television or the internet, and use other proprietary methods. They can also engage in transactions with businesses that compete with the franchisee, as long as those businesses within the franchisee's territory do not operate under the Beverly Anns Cookie brand. The franchisor is not obligated to compensate the franchisee for exercising these rights, even if it affects the franchisee's business within their own territory.
Franchisees must be aware of what constitutes "Territory Infringement," which occurs when a franchisee earns income from customers within another franchisee's territory without permission. Violations can result in fines: $1,000 for the first violation, and $5,000 for subsequent violations, plus the amount invoiced during the infringement. These fines are payable to Beverly Anns Cookie, who may distribute them at their discretion. Franchisees should be aware that violations accumulate over the life of the franchise, regardless of when or where they occur.
