t System standards for new Beverly Ann's Cookie Truck franchised businesses at your sole cost and expense;
- 5.2.4 Successor Franchise Agreement. Sign the Successor Franchise Agreement and all ancillary documents we require franchisees to sign;
- 5.2.5 General Release. Sign and have each of your Owners sign our current form of general release which contains a release of all claims, known or unknown, against us and our affiliates and subsidiaries, and our and their respective members, officers, directors, agents and employees, in both their corporate and individual capacities. Unless otherwise prevented by state law, we will consider your failure to sign the release within 30 days after it is delivered to you to be an election not to acquire a Successor Franchise;
- 5.2.6 Renewal Fee. Pay us a non-refundable renewal fee of $7,500 ("Renewal Fee"); and
- 5.2.7 Additional Actions. Take any additional actions we reasonably require.
Notice Regarding Renewal Decision
Within six months after we receive your notice of intent to renew the Franchise Agreement of our decision to: (a) grant you a Successor Franchise Agreement; (b) grant you a Successor Franchise Agreement on the condition you correct existing deficiencies of the Franchised Business or in your operation of the Franchised Business; (c) not grant you a Successor Franchise Agreement based on our determination you or your Owners have not fully complied with this Franchise Agreement during its Term or were not in full compliance with this Franchise Agreement and all System sstandards on the date you gave us written notice of your election to enter into a Successor Franchise Agreement; or (d) not grant you a Successor Franchise Agreement because we no longer maintain a franchise program for Beverly Ann's Cookie Truck franchises.

What This Means (2025 FDD)
According to the 2025 Beverly Anns Cookie Franchise Disclosure Document, when a franchisee seeks to renew their agreement, Beverly Anns Cookie will review the franchisee's compliance during the current term.
Beverly Anns Cookie will assess whether the franchisee or their owners have fully complied with the Franchise Agreement during its term. They also check if the franchisee was in full compliance with the Franchise Agreement and all System standards on the date the franchisee provided written notice of their intent to enter into a Successor Franchise Agreement.
If deficiencies are found, Beverly Anns Cookie may grant a Successor Franchise Agreement conditioned on correcting those deficiencies. The notice from Beverly Anns Cookie will describe any required remodeling, expansion, improvements, or modifications needed to bring the Franchised Business and GR Vehicle into compliance. It will also state the actions needed to correct operating deficiencies and the timeframe for correction. If Beverly Anns Cookie elects not to grant a Successor Franchise Agreement, the notice will describe the reasons for their decision.
