Who owns the intellectual property rights in the system for Bevaris Alliance?

According to the 2024 Bevaris Alliance Franchise Disclosure Document, Bevaris Alliance Franchise System, LLC, the franchisor, is the owner of the intellectual property rights in the Bevaris Alliance system. This includes trade names, trademarks, service marks, copyrights, and other proprietary information. The franchisor has registered or applied to register the trademarks associated with its products and/or services. The trademarks include "BEVARIS ALLIANCE" and the lion logo.

As a franchisee, you are obligated to protect Bevaris Alliance's intellectual property. Any goodwill or rights in the trademarks resulting from your use of them will vest in the franchisor. You cannot apply to register any of the intellectual property (or confusingly similar intellectual property) in your own name. You must also comply with the operations manual and all requests from Bevaris Alliance regarding the use of trademarks, including the proper use of the ™, ©, and ® symbols.

If you become aware of any potential infringement of Bevaris Alliance's intellectual property, you must immediately inform the franchisor with all relevant details. Bevaris Alliance has the sole discretion to take action regarding any infringement or alleged infringement, and you are required to cooperate with them in such proceedings. You are prohibited from licensing any other person to use the intellectual property and must not use any intellectual property that is confusingly similar to it. You must also avoid any actions that could adversely affect the intellectual property or Bevaris Alliance's rights to it. Upon request from Bevaris Alliance, you must immediately stop using specific advertising, promotional material, or packaging.
