BACKGROUND

  • (A) The Franchisor, as a result of extensive research and practical business experience, has developed the Branded Business, which is carried on under the Trade Name.
  • (B) The Franchisor has built up a substantial reputation and goodwill in the Trade Name, which is associated with high standards of service.
  • (C) The Franchisor is the exclusive owner of all rights in the Trademarks.
  • (D) The Franchisor has developed specialized Products and Services to be used in the Branded Business. The Franchisor's current range of Products and Services is listed in the Manual.
  • (E) The Franchisor is the owner of Intellectual Property rights in the System.
  • (F) The Franchisor has applied to register or has registered the Trademarks which are associated with the Products and/or Services.
  • (G) The Franchisee wishes to acquire from the Franchisor the right and franchise to operate the Branded Business in accordance with the terms of this agreement.

1. Interpretation

1.1 Definitions and Interpretation. The definitions and rules of interpretation in this clause apply in this agreement.

Additional Training Fees: If additional training is requested by Franchisee or required by Franchisor the Franchisor may charge a reasonable hourly or daily fee and reimbursement for travel, lodging, and meals for such additional training.

Asset Purchase Notice: means the notice referred to in clause 16.7.

Branded Business: the business of a highly efficient and nutritious food service delivery system to schools, institutions, and other businesses which supports academic success and healthy eating patterns, carried on using the System.

Business Day: a day other than a Saturday, Sunday or public holiday in California when banks in Los Angeles, California are open for business.

Business Hours: the period from 5:00 a.m. to 5:00 p.m. Pacific Time on any Business Day.

All intellectual property within the Bevaris Alliance manual remains the exclusive property of the franchisor. Franchisees are responsible for the safe custody and maintenance of the manual. Any goodwill associated with the trademarks resulting from the franchisee's use vests in Bevaris Alliance. Franchisees must report any potential or actual infringement of the intellectual property to Bevaris Alliance and cooperate in any related legal proceedings, with Bevaris Alliance covering reasonable expenses incurred by the franchisee during such cooperation. These measures ensure the protection and consistent application of Bevaris Alliance's brand and intellectual assets across all franchise locations.

Failure to comply with these intellectual property obligations could result in a breach of the franchise agreement, potentially leading to termination of the franchise.
