What This Means (2024 FDD)
According to the 2024 Bevaris Alliance Franchise Disclosure Document, any goodwill associated with the use of Bevaris Alliance's trademarks by a franchisee will vest in the franchisor, Bevaris Alliance Franchise System, LLC. This means that while a franchisee operates their business and uses the Bevaris Alliance trademarks, any positive brand recognition or customer loyalty generated through that use ultimately benefits Bevaris Alliance itself.
This is a standard practice in franchising. The franchisee is essentially building equity in the brand for the franchisor. This is because the franchisor owns the trademarks and the associated brand identity. Therefore, any increase in brand value resulting from the franchisee's efforts accrues to the franchisor.
For a prospective Bevaris Alliance franchisee, this means that upon termination or transfer of the franchise, they cannot claim any ownership or benefit from the goodwill they helped create around the Bevaris Alliance name. The value remains with the franchisor. Franchisees are also obligated to report any potential infringement of Bevaris Alliance's intellectual property and must cooperate with Bevaris Alliance in any legal proceedings related to the intellectual property. Franchisees cannot register any confusingly similar intellectual property in their own name and must adhere to Bevaris Alliance's guidelines for using trademarks, as outlined in the manual.
