What This Means (2024 FDD)
According to Bevaris Alliance's 2024 Franchise Disclosure Document, Bevaris Alliance has the right to replace a franchisee selected for a Food Service Agreement. The document states that after a franchisee is selected for a particular Food Service Agreement, Bevaris Alliance may replace that franchisee with another franchisee. Bevaris Alliance can also choose to provide the products and services directly under the Food Service Agreement itself.
This clause gives Bevaris Alliance significant control over the Food Service Agreements and the franchisees' involvement with them. It means that even after a franchisee has been assigned a Food Service Agreement, they are not guaranteed to continue servicing that agreement. Bevaris Alliance retains the power to reassign the agreement to another franchisee or take it over themselves.
For a prospective franchisee, this creates a level of uncertainty. While securing a Food Service Agreement might seem like a significant achievement, the franchisee must recognize that Bevaris Alliance can remove them from that agreement at any time. This could impact the franchisee's revenue and profitability, as they may lose a significant source of business. It is important for potential franchisees to understand the conditions under which Bevaris Alliance might exercise this right and to assess the potential risks involved.
This type of clause is not uncommon in franchise agreements, as franchisors often want to maintain control over the quality and consistency of service provided under their brand. However, it is crucial for franchisees to carefully consider the implications of such a clause and to discuss it with Bevaris Alliance during their due diligence process.
