  • be given subject to such conditions as the Franchisor shall consider necessary to protect the goodwill and reputation of the Branded Business;
  • (b) if required by the Franchisor, participate in the Franchisor's website as stipulated by the Franchisor;
  • (c) not participate in or register with any internet group, web site or similar medium which has as its aim (whether stated or not) or effect the denigration of the Branded Business or the Trade Name; and
  • (d) not open an account or profile on a social networking site in relation to the Franchisee's Business or the Branded Business without the Franchisor's prior written consent which may be given subject to conditions which may include the grant to the Franchisor of administrator rights and the Franchisee will comply with the provisions of the Manual in respect of such social networking sites.

7.12 Miscellaneous. The Franchisee shall:

  • (a) obtain, maintain and comply with all necessary licenses, permits, and consents and comply with all relevant legislation in relation to the Franchisee's Business, the Food Supply Agreements, and the Premises and their use;
  • (b) not license any other person to operate the Branded Business under the Trade Name;
  • (c) send a delegate to all meetings of Branded Business franchisees such as an advisory council which may be established by Franchisor; and
  • (d) indemnify, defend and hold harmless Franchisor and its Customers against all claims, demands, losses, penalties, damages, liabilities and costs and expenses including without limitation, settlement cost actual attorney's fees, and expenses which may be suffered by, accrued against, charged to, or recoverable from Franchisor by reason of Franchisee's operation of the Franchised Business or the negligence or willful misconduct of Franchisee.

8. Employees

In relation to the Franchisee's employees who are engaged in the Franchisee's Business, the Franchisee shall, at all times during the Term:
