BACKGROUND
- (A) The Franchisor, as a result of extensive research and practical business experience, has developed the Branded Business, which is carried on under the Trade Name.
- (B) The Franchisor has built up a substantial reputation and goodwill in the Trade Name, which is associated with high standards of service.
- (C) The Franchisor is the exclusive owner of all rights in the Trademarks.
- (D) The Franchisor has developed specialized Products and Services to be used in the Branded Business. The Franchisor's current range of Products and Services is listed in the Manual.
- (E) The Franchisor is the owner of Intellectual Property rights in the System.
- (F) The Franchisor has applied to register or has registered the Trademarks which are associated with the Products and/or Services.
- (G) The Franchisee wishes to acquire from the Franchisor the right and franchise to operate the Branded Business in accordance with the terms of this agreement.
