BBF will be entitled to attend and participate in any meeting of a Market Cooperative.
Any Better Blend business owned by BBF in the Market Cooperative shall have the same voting rights as those owned by its franchisees.
Each Business owner will be entitled to cast one vote for each Business owned, provided, however, that a franchisee shall not be entitled to vote if it is in default under its franchise agreement.
If the members of a Market Cooperative are unable or fail to determine the manner in which Market Cooperative monies will be spent, BBF may assume this decision-making authority after 10 days' notice to the members of the Market Cooperative.

What This Means (2024 FDD)
According to Better Blend's 2024 Franchise Disclosure Document, any Better Blend business owned by the franchisor, BBF, within a Market Cooperative has the same voting rights as those owned by its franchisees. Each business owner, including both franchisees and BBF-owned businesses, is entitled to cast one vote for each business owned. However, a franchisee is not entitled to vote if they are in default under their franchise agreement.
This parity in voting rights ensures that BBF's company-owned stores do not have disproportionate influence over the Market Cooperative's decisions compared to individual franchisees. This arrangement promotes a sense of fairness and shared decision-making within the cooperative. The activities carried on by each Market Cooperative are decided by a majority vote of its members, further emphasizing the importance of each vote.
However, it's important to note that if the members of a Market Cooperative are unable or fail to determine how the Market Cooperative's funds will be spent, BBF may assume decision-making authority after providing 10 days' notice to the members. This provision allows Better Blend to step in and ensure that the Market Cooperative functions effectively, even if the members cannot reach a consensus. This could potentially shift the balance of power, especially if disagreements arise frequently within the cooperative.
Prospective franchisees should be aware of these voting rights and the conditions under which BBF can assume decision-making authority. Understanding the governance structure of the Market Cooperative is crucial for franchisees to effectively participate in regional advertising and marketing programs and to protect their interests within the Better Blend franchise system.
