Answer from 2024 FDD Document

7.3 Food Service.

  • (e) Delivery Services. Franchisee shall use such third-party delivery services as BBF may require or approve, and only such third-party delivery services. BBF reserves the right to negotiate system-wide agreements with third-party delivery services, and Franchisee shall comply with any such agreement. BBF reserves the right to set boundaries for delivery, which need not be the same as the Territory. Adjusted Gross Sales on deliveries will be calculated on the amount paid by the customer to the delivery service (not counting any fees charged by the delivery service to the customer in addition to Better Blend prices, such as a delivery fee, service charge, or gratuity charged by the delivery service to the customer), rather than the net amount received by Franchisee from the delivery service.

What This Means (2024 FDD)

According to Better Blend's 2024 Franchise Disclosure Document, Section 7.3(e) pertains to delivery services and does not contain any health inspection standards. Instead, Section 7.3(e) states that franchisees must use only the third-party delivery services that Better Blend requires or approves. Better Blend retains the right to negotiate system-wide agreements with these delivery services, and franchisees must comply with these agreements. Better Blend also reserves the right to set delivery boundaries, which may differ from the franchisee's territory. The adjusted gross sales for deliveries are calculated based on the amount paid by the customer to the delivery service, excluding any fees charged by the delivery service, such as delivery fees, service charges, or gratuities.

However, Section 7.3(e) is referenced in item (xi) which states that a franchisee failing to meet the health inspection standards described in Section 7.3(e) two or more times in any 36-month period is grounds for termination.

Section 7.1 requires franchisees to comply with all System Standards, and Section 7.2 requires compliance with all applicable laws. Section 7.4 acknowledges that System Standards determined by Better Blend may include the minimum, maximum, and/or exact prices that franchisees may charge for products or services sold (except to the extent such authority is limited or prohibited by applicable law).

Prospective franchisees should note that while Section 7.3(e) does not outline specific health inspection standards, compliance with approved delivery services and overall health standards is critical for maintaining the franchise agreement. Franchisees should seek clarification from Better Blend regarding the specific health inspection standards they must adhere to, as failure to meet these standards can lead to default and potential termination of the franchise agreement.
