What This Means (2024 FDD)

According to Better Blend's 2024 Franchise Disclosure Document, Better Blend provides certain indemnification to franchisees regarding trademark infringement. Specifically, if a franchisee uses Better Blend's marks in accordance with the franchise agreement, Better Blend will defend the franchisee against any action by a third party alleging trademark infringement. Better Blend will handle these defenses at its own expense.

Furthermore, Better Blend will indemnify the franchisee for expenses and damages if the action results unfavorably for the franchisee. This means that if a franchisee is sued for trademark infringement while using Better Blend's marks as permitted, Better Blend will cover the franchisee's legal expenses and any damages awarded against them. This protection is contingent on the franchisee's adherence to the franchise agreement regarding the use of Better Blend's marks.

However, the FDD excerpt focuses specifically on trademark infringement related to the use of Better Blend's marks. It does not explicitly address copyright infringement or other types of intellectual property disputes. A prospective franchisee should seek clarification from Better Blend regarding indemnification policies related to other forms of intellectual property claims, such as copyright, patents, or trade secrets, to fully understand the scope of protection offered.
