What This Means (2024 FDD)

According to Better Blend's 2024 Franchise Disclosure Document, franchisees are generally required to acquire all inputs, as defined by Better Blend, in accordance with the System Standards. Better Blend has the right to mandate that franchisees purchase or lease inputs from Better Blend, Better Blend's designee, Required Vendors, Approved Vendors, or under Better Blend's specifications. Better Blend retains the authority to change these requirements or the status of any vendor, with such changes being implemented through the issuance of System Standards.

If Better Blend requires a franchisee to purchase a particular input exclusively from an Approved Vendor or Required Vendor, and the franchisee wishes to purchase the input from an alternative vendor, the franchisee must submit a written request for approval. This request must include any information, specifications, and samples requested by Better Blend. Better Blend has the discretion to approve or disapprove the alternative vendor, and may base its approval on criteria such as the vendor's capacity, quality, financial stability, reputation, and reliability, as well as inspections, product testing, and performance reviews. Better Blend is required to provide written notification of the approval or disapproval of any proposed new vendor within 30 days of receiving the franchisee's request.

Better Blend may also negotiate prices and terms with vendors on behalf of the entire system and may receive rebates, payments, or other consideration from vendors based on franchisee purchases. Better Blend has the option to collect payments from franchisees on behalf of a vendor and remit those payments, and may also impose a reasonable markup or charge for administering this payment program. Better Blend may implement a centralized purchasing system or establish a purchasing cooperative that franchisees may be required to join and participate in under terms and conditions set by Better Blend.

Better Blend and its affiliates bear no liability to the franchisee for any claim, loss, or other action related to any product provided or service performed by any Approved Vendor or Required Vendor, unless Better Blend or its affiliate is the vendor. This includes issues such as defects, delays, unavailability, failure, or breach of contract related to such products or services. If a recall is issued for an item used or sold in the franchisee's business, the franchisee must immediately cease using or selling the item and comply with all instructions from Better Blend or the vendor, supplier, or manufacturer regarding the recall, repair, or replacement of the item at the franchisee's own expense.
