According to Better Blend's 2024 Franchise Disclosure Document, the definition of 'Confidential Information' explicitly includes vendor pricing. This means that as a franchisee, you are obligated to protect the confidentiality of vendor pricing information. This obligation extends both during the term of the Franchise Agreement and indefinitely after its termination or expiration.
As a Better Blend franchisee, you must adhere to all procedures prescribed by Better Blend for maintaining confidentiality. You are only allowed to disclose confidential information to your employees to the extent necessary for the operation of the business. You are prohibited from using this information in any other business or in any manner not specifically authorized by Better Blend in writing. You must exercise a high degree of diligence to maintain the confidentiality of all such information.
The Franchise Agreement also states that you cannot copy or reproduce any Confidential Information and must promptly report any unauthorized disclosure or use of Confidential Information. All customer data collected or generated by the Business and all data collected or generated by the point-of-sale system (other than data regarding employees) is Confidential Information belonging to BBF.
Given the broad definition of Confidential Information, prospective franchisees should carefully consider the implications of maintaining such confidentiality and the potential consequences of any breaches. It is important to establish robust security measures and train employees on handling confidential data to comply with the Franchise Agreement and protect Better Blend's proprietary information.
