What This Means (2024 FDD)
According to Better Blend's 2024 Franchise Disclosure Document, a franchisee, acting as a tenant, is required to assign their lease to Better Blend if the Franchise Agreement between them is terminated during the lease term. This condition is triggered specifically upon the written request of Better Blend. The landlord, by prior agreement, consents to this potential assignment of the lease to Better Blend.
This stipulation provides Better Blend with a mechanism to maintain control over the leased premises should the relationship with the franchisee end prematurely. It ensures that Better Blend can continue operating a location, either directly or through another franchisee, without disruption. For a prospective franchisee, this clause highlights the importance of adhering to the terms of the Franchise Agreement to avoid termination and the subsequent loss of their lease.
It is important to note that while the franchisee is obligated to assign the lease under these specific conditions, the original lease agreement remains in effect. The franchisee, as the initial tenant, retains the right to assign or sublet the lease to Better Blend or its affiliate. However, this action does not relieve the franchisee or any guarantor of their liability under the lease unless the landlord provides explicit agreement otherwise. This means that even after assignment, the franchisee could still be responsible for lease obligations.
This clause also specifies that if Better Blend or its affiliate becomes the lessee, Better Blend has the right to assign or sublease the lease to another Better Blend franchisee. Furthermore, any restrictions in the original lease that limit the tenant's ability to own or operate other Better Blend locations nearby do not apply to Better Blend or its affiliates, providing them with greater flexibility in managing and expanding the brand's presence.
