  • 2.3 Changes, Suspension or Termination of the Service. AutoClerk reserves the right, in its sole discretion, to make any Updatesto the Service that it deems necessary or useful, including to maintain or enhance the Service, the competitive strength of the Service, the Service's cost or performance, or to comply with applicable Law.

"Updates" means updates, upgrades, releases, improvements, changes, new versions, and other modifications to the Service.

What This Means (2025 FDD)

According to Best Western's 2025 Franchise Disclosure Document, AutoClerk retains sole control over the operation, provision, maintenance, and management of the Service provided to Best Western franchisees, including the selection, deployment, modification, and replacement of the Service, as well as the performance of Updates. The FDD defines "Updates" to include updates, upgrades, releases, improvements, changes, new versions, and other modifications to the Service.

AutoClerk commits to using reasonable efforts to schedule downtime with customers in advance when possible and aims to maintain service availability 99.0% of the time, barring specific exceptions outlined in the agreement.
