What This Means (2025 FDD)

According to Best Brains' 2025 Franchise Disclosure Document, any waiver of punitive damages will not apply to Best Brains franchisees operating in North Dakota. This information is contained within the North Dakota Addendum to the Disclosure Document. This means that franchisees in North Dakota retain the right to seek punitive damages, regardless of any general waivers that might be present in the standard franchise agreement.

This protection is significant for prospective franchisees in North Dakota. Punitive damages are awarded to punish a defendant for egregious misconduct and are separate from compensatory damages, which are intended to cover actual losses. The inability to waive these damages can provide franchisees with additional legal recourse in cases of severe franchisor misconduct.

Franchise agreements often contain clauses that attempt to limit the franchisor's liability, including waivers of certain types of damages. However, state-specific addenda, like the one for North Dakota, can override these general provisions to protect franchisees' rights under local laws. Prospective franchisees should carefully review any state-specific addenda to understand how they modify the standard franchise agreement in their particular state.
