Upon termination or non-renewal of a Best Brains franchise, is the franchisee required to assign their lease to Best Brains?

What This Means (2025 FDD)

According to Best Brains's 2025 Franchise Disclosure Document, upon termination or non-renewal of the franchise agreement, the franchisee may be required to assign their lease to Best Brains. Specifically, the summary table in Item 17 states that franchisees have the obligation to assign their lease to Best Brains, at Best Brains's option. Additionally, franchisees must return to Best Brains any signs utilizing the Marks. Franchisees must also provide Best Brains with the names, addresses, and telephone numbers of all customers; assign to Best Brains your telephone and facsimile numbers, and e-mail and internet addresses, websites, domain names, social media sites and search engine identifiers.

Item 23 of the Best Brains FDD further clarifies the conditions under which a lease assignment may occur. The franchisee must assign to Best Brains (or its affiliate) all rights, title, and interest to the lease upon any termination of the Lease or the Franchise Agreement or if no subsequent Franchise Agreement is executed. However, this assignment is only effective if the Franchise Agreement is terminated or expires without a renewal agreement, and Best Brains notifies the franchisee and landlord in writing that it assumes the franchisee's obligations under the lease.

This means that if a Best Brains franchisee's agreement is terminated or not renewed, Best Brains has the option to take over the lease for the premises. This is contingent on Best Brains providing written notice to both the franchisee and the landlord that it will assume the obligations under the lease. This provision protects Best Brains's interest in maintaining the location for continued operation, either by the company itself or another franchisee. The franchisee should be aware of this potential obligation when entering into a lease agreement for their Best Brains center.
