- You (and your owners if Franchisee is an entity) shall execute Releases, in a form satisfactory to us, of any and all claims against the us and our affiliates, and their officers, directors, managers, shareholders, members, employees and agents.
The franchise agreement and ancillary agreements at the time of renewal may contain materially different terms from those contained in this Agreement. Failure by you (and your owners, if Franchisee is an entity) to sign such agreement(s) and releases within thirty (30) days after delivery thereof shall be deemed an election not to renew.
You shall pay to us a renewal fee as specified in Section 2.G. above.
7. TERMINATION.
- A. Termination by You. If you are in substantial compliance with this Agreement and we materially breach this Agreement and fail to cure such breach within a reasonable time, which in no event shall be less than ninety (90) days, after written notice thereof is delivered to us, you may terminate this Agreement. Such termination shall be effective ten (10) days after delivery to us of notice that such breach has not been cured and you elect to terminate this Agreement. Except as described in this Section, you have no other rights to terminate this Agreement.

According to Best Brains' 2025 Franchise Disclosure Document, Best Brains can terminate the franchise agreement, effective upon delivery of notice of termination to the franchisee, under certain conditions. These conditions include franchisee insolvency, failure to pass the initial training program, failure to commence operating the franchised business within 180 days of the agreement, or abandonment/transfer of control without prior written consent.
If a Best Brains franchisee is in substantial compliance with the agreement, and Best Brains materially breaches the agreement but fails to cure it within a reasonable time (no less than 90 days) after written notice from the franchisee, the franchisee can terminate the agreement. This termination becomes effective 10 days after Best Brains receives notice that the breach remains uncured.
Additionally, Best Brains can terminate the franchise agreement if the franchisee, after initially curing a failure related to Section 7.B.2, engages in the same noncompliance again, regardless of whether it's corrected after notice. Best Brains can also terminate the agreement if the franchisee breaches it three or more times within a 12-month period, regardless of whether the breaches are corrected after notice.
