What This Means (2025 FDD)
According to Best Brains' 2025 Franchise Disclosure Document, franchisees are subject to non-competition covenants both during the term of the franchise agreement and after termination or expiration.
During the franchise term, franchisees cannot directly or indirectly offer services similar to those offered by a Best Brains learning center, except under another franchise agreement with Best Brains. This prevents franchisees from operating competing businesses while still affiliated with the Best Brains brand.
After the franchise agreement terminates or expires, the franchisee is restricted for two years from offering similar services within 25 miles of their former Best Brains location or any other Best Brains location. Additionally, the franchisee is prohibited from soliciting business from any customer of the franchised business within the same geographic area for a period of two years after termination or expiration of the franchise agreement. These post-term restrictions aim to protect Best Brains' market share and customer relationships.
These non-competition terms apply to the franchisee, but the FDD does not specify whether Best Brains requires center managers (employees of the franchisee) to sign separate non-competition agreements. A prospective franchisee should clarify this point with Best Brains to understand the full scope of non-competition obligations.
